Host Licence Agreement

CoHub Pty Ltd (ACN 701 652 557, ABN 88 701 652 557) — the agreement formed for each confirmed Booking on the CoHub Platform. Market: Australia (national). Last updated 2 September 2026.

Schedule 1 below records the details specific to each Booking, compiled from the Listing and Booking at the time it is confirmed. Sections 1–13 are the fixed legal terms that apply to every Booking. Together, a completed Schedule 1 plus Sections 1–13 make up the Agreement between the Host and the Member for that Booking.

This Schedule is compiled from the Listing and Booking at the time the Booking is confirmed on the Platform, forming part of this Agreement. Fields marked with an example are populated per Booking; all other terms are fixed for every Booking of this type.

1. Parties and Formation

This Host Licence Agreement (“Agreement”) is between the Host and the Member named in Schedule 1.

This Agreement is formed electronically, without a wet signature, at the moment CoHub confirms the Booking. The Booking confirmation, this Agreement, and the Listing (including its house rules) together record its terms.

CoHub is not a party to this Agreement. CoHub facilitates the Booking through the Platform and processes payment via Stripe Connect, but the licence described in this Agreement is granted by the Host directly to the Member. Section 12 sets out CoHub’s role in more detail.

This Agreement should be read together with the Listing, the CoHub Platform Terms of Service, the Privacy Policy, any applicable safety or access instructions, and any category-specific rules issued by CoHub from time to time. To the extent there is an inconsistency, the order of priority is: mandatory law, Schedule 1, this Agreement, the Listing and house rules, then the Platform Terms of Service, except that CoHub’s own rights, fees, platform powers, privacy handling and liability limits remain governed by the Platform Terms of Service and Privacy Policy.

Each confirmed Booking constitutes a direct agreement between the Host and the Member, incorporating the Host’s listing details, CoHub’s standard booking terms, and this Host Licence Agreement. CoHub acts solely as a facilitator and is not a party to the Host–Member contract.

2. Grant of Licence

The Host grants the Member a personal, non-exclusive, non-transferable licence to occupy and use the Space described in Schedule 1, for the Booking period stated in Schedule 1, for the permitted use stated in Schedule 1, and subject to this Agreement and the house rules.

This is a licence, not a lease. It does not grant the Member exclusive possession of the Space, does not create the relationship of landlord and tenant, and is not intended to be registrable or to confer any interest in land. Nothing in this Agreement is intended to constitute a retail lease or to attract the operation of the Retail Leases Act (or equivalent legislation) of the relevant State or Territory.

The Host may retain keys and access to the Space, and may enter it for safety, maintenance, or emergency reasons (with reasonable notice to the Member, except in a genuine emergency). Where the Listing describes shared or multi-desk use, the Host may make the same Space available to other Members at the same time; otherwise, the Host will not make the Space available to another Member during the Booking period.

3. Permitted Use

  • The Member must use the Space only for the permitted use stated in Schedule 1, only during the Booking period, and only for the headcount or use described in the Listing.
  • The Member must comply with the house rules and any reasonable direction the Host gives about use of the Space.
  • The Member must not use the Space for any unlawful purpose, and must not sublet, assign, or allow anyone other than their own staff and invited guests to use the Space.
  • The Member must not use the Space for hazardous, offensive, discriminatory, exploitative, unlawful, misleading, regulated or high-risk activities unless the Host has expressly approved the activity in writing through the Platform and all required licences, permits, risk assessments, insurances and approvals are in place.
  • If the Booking involves an event, hub, community program, collaboration, workshop, activation, facilitation arrangement, hosted gathering or attendance by members of the public, the Member must identify the responsible organiser and safety lead in Schedule 1, obtain the Host’s prior written approval through the Platform, and ensure all permits, licences, risk controls, supervision, accessibility arrangements, crowd management, safe-space standards and insurances are in place before the activity starts.

4. Access

The Host must provide the Member with access to the Space (by keys, code, or an in-person meeting, as described in the Listing) from the start of the Booking period.

If the Host fails to provide access as agreed, the Member is entitled to a full refund through the Platform under CoHub’s Host-cancellation process, and this Agreement ends without further liability between the Host and the Member beyond any accrued breach.

5. Fees and Payment

The Member pays the Price shown in Schedule 1 through the Platform at the time of Booking — this is the full amount the Member pays; no separate fee is added at checkout. Payment is processed by CoHub’s payments provider (currently Stripe, via Stripe Connect); the Host is paid out the Price less the CoHub Service Fee shown in Schedule 1, under the terms of the Platform Terms of Service.

Unless stated otherwise at checkout, all amounts must clearly state whether GST is included or excluded. Each party is responsible for its own tax, GST registration, invoicing and reporting obligations. CoHub may issue receipts, recipient-created tax invoices or other transaction records through the Platform where supported, but does not provide tax advice to Hosts or Members.

The Host and Member must not arrange payment for this Booking outside the Platform in order to avoid the Service Fee.

6. Host Obligations

  • Provide the Space in the condition, with the amenities, and matching the description given in the Listing.
  • Ensure the Space is safe, clean, and lawfully able to be used for the permitted use, and that the Host holds all approvals, consents, and rights needed to offer it (including under any lease, strata by-law, mortgage, or council approval that applies).
  • Comply with all applicable work health and safety, fire safety, building, accessibility, planning, zoning, strata, liquor, food, event, retail, industrial, environmental and public-health requirements that apply to the Space and the permitted use, and promptly notify CoHub and the Member of any material safety hazard or legal restriction affecting the Booking.
  • Hold the insurance stated in Schedule 1 (where applicable) for the duration of the Booking, and provide evidence of it to the Member or CoHub on reasonable request.
  • Where the Host allows the Space to be used for an event, hub, community activity or collaboration, the Host remains responsible for the lawful condition of the Space, building safety, emergency exits, fire systems, occupancy limits, site induction information, reasonable safe-space requirements within the Host’s control, and ensuring its insurance permits that type of use.
  • Not unreasonably interfere with the Member’s use of the Space during the Booking period.

7. Member Obligations

  • Use the Space only as permitted under this Agreement and the house rules, and take reasonable care of it.
  • Leave the Space in the condition it was provided, fair wear and tear excepted.
  • Be responsible for their own equipment, stock, and belongings, and for the conduct of their staff, guests, and invitees while at the Space.
  • Comply with all safety directions and any building, site, or centre rules that apply to the Space.
  • Comply with all applicable laws, licences, permits, WHS obligations, public-health rules, responsible-service requirements, food-safety requirements, music/licensing permissions, child-safety requirements, accessibility requirements and industry rules that apply to the Member’s business or activity at the Space.
  • For any event, hub, community program, collaboration, workshop, activation or hosted gathering run by or for the Member, the Member is responsible for participant registration, consent, supervision, attendee behaviour, safe-space or code-of-conduct standards, incident response, first aid arrangements where appropriate, content and activity suitability, public communications, and ensuring the activity does not create unacceptable risk for the Host, CoHub or other users of the Space.
  • The Member must register, supervise and remain responsible for all guests, attendees, contractors, volunteers, delivery personnel and invitees. Guests or attendees may be required to check in, provide reasonable identification, accept house rules, agree to an event waiver or release, and leave the Space if the Host, Member or CoHub reasonably considers their conduct unsafe, unlawful, disruptive, discriminatory or inconsistent with the approved Booking.
  • Not cause damage, nuisance, or a breach of any law while at the Space.

8. Damage and Liability Between Host and Member

The Member is liable to the Host for loss or damage to the Space or the Host’s property caused by the Member, or by the Member’s staff, guests, or invitees, during the Booking, beyond fair wear and tear.

The Host is responsible for the safety and lawful condition of the Space, and for loss or damage caused by a defect in, or an unsafe condition of, the Space, except to the extent that the Member caused or contributed to it.

Neither party is liable to the other for indirect or consequential loss arising from this Agreement.

Nothing in this Agreement excludes, restricts or modifies any consumer guarantee, statutory guarantee, liability for death or personal injury caused by negligence, liability for fraud or wilful misconduct, or any other right or remedy that cannot lawfully be excluded under the Australian Consumer Law or other applicable law. Any limitation or exclusion in this Agreement applies only to the maximum extent permitted by law.

This clause governs the relationship between the Host and the Member only. It does not affect, and is not affected by, the separate limitation of CoHub’s own liability set out in the Platform Terms of Service — CoHub is not liable for loss or damage arising between a Host and a Member under this Agreement.

For events, hubs, communities, collaborations, workshops, activations or hosted gatherings, liability follows operational control unless mandatory law says otherwise: the Host is generally responsible for the Space and conditions within the Host’s control; the Member or named organiser is generally responsible for the activity, attendees, content, supervision and conduct; and CoHub is responsible only for its own platform services or any facilitation, hosting or operational role that CoHub expressly agrees to provide in writing through the Platform or a separate agreement.

For higher-risk, public, ticketed, paid, community, wellbeing, physical activity, food, alcohol, child-related, vulnerable-person, professional-services, workshop or other regulated activities, CoHub may require the responsible organiser to obtain participant waivers, releases, parent or guardian consents, contractor agreements, volunteer acknowledgements, speaker releases or additional insurance before the Booking proceeds. A general acceptance of CoHub’s Platform Terms may not be sufficient to bind non-member guests or event participants.

9. Insurance

  • Host: must hold public liability insurance covering the Space (at the minimum level stated in Schedule 1, where CoHub requires one for that Space category) and, where relevant, contents insurance for the Host’s own fixtures and equipment.
  • Before accepting a Booking, the Host must ensure its insurance permits short-term third-party use of the Space, does not exclude the permitted use, and is not invalidated by the Booking. CoHub may require evidence of insurance and may suspend or remove a Listing if required insurance is not maintained.
  • Member: is responsible for insuring their own equipment, stock, and belongings brought to the Space, and is encouraged to hold public liability insurance for their own business activities — particularly for Retail & Pop-up and Event & Meeting use involving members of the public.
  • For higher-risk activities, events, public attendance, retail trade, storage, industrial use or activities involving valuable stock or equipment, the Member must obtain appropriate public liability, workers compensation, professional indemnity, product liability, contents, stock or event insurance before using the Space.
  • For event, hub, community or collaboration use, CoHub may require the Host, the Member or the named organiser to provide evidence of appropriate public liability, event liability, workers compensation, volunteer cover, product liability, professional indemnity, contents, equipment, stock or other insurance before the Booking proceeds. If adequate insurance is not provided, the Host or CoHub may reject, cancel, suspend or restrict the Booking in accordance with the Platform Terms of Service and applicable law.

10. Cancellation and Refunds

Unless a different cancellation policy is shown at checkout or required by law, the standard CoHub cancellation policy applies: the Member may cancel for free, with a full refund, if notice is given through the Platform at least 48 hours before the Booking start time. Once less than 48 hours remain before the Booking start time, the Booking can no longer be cancelled through the Platform and the full Booking fee remains payable, including if the Member does not attend or does not use the Space. Refunds and payouts are processed by CoHub through its payments provider in accordance with the Platform Terms of Service.

Either party may end this Agreement early, by notice given through the Platform, for the other party’s material breach of this Agreement — for example, unsafe conduct, non-payment, unlawful use of the Space, material insurance failure, material misrepresentation, refusal to provide lawful access, or conduct that exposes another party or CoHub to regulatory, safety, financial or reputational risk. Ending this Agreement early does not, by itself, change any refund position already determined under the applicable cancellation policy, but CoHub may facilitate or require a refund, payout hold or dispute process where the Platform Terms of Service permits it or where required by law.

10A. Dispute Resolution — Agreed Partial Refund

Where a Host and Member disagree about a completed or in-progress Booking — for example, the Space was not as described, or a problem arose during the Booking — either party may raise the disagreement with CoHub under Section 12. Unlike the cancellation policy in Section 10, which applies before a Booking starts, this section applies once the Booking fee has already been charged and paid out.

If the Host and Member reach agreement between themselves on what percentage of the total Booking price should be refunded, and both parties confirm that agreement to CoHub, an admin may record that agreed percentage on the Platform and process the refund accordingly:

  • CoHub refunds the agreed percentage of the total Booking price to the Member, reversing the matching share of both the Host’s payout and CoHub’s own Service Fee proportionally.
  • An agreed outcome of 0% closes the dispute with no refund: the Host’s payout stands unchanged.
  • An agreed outcome of 100% refunds the Booking price in full, the same as a compliant cancellation under Section 10, and the Booking is marked cancelled.
  • CoHub notifies both parties once an outcome is recorded.

This mechanism only applies to a Booking that has already been confirmed and charged — it does not create any new right to a refund, and does not require CoHub to resolve a dispute the Host and Member cannot agree on themselves.

CoHub may decline to record an outcome, or ask for further information, where it reasonably considers the parties’ agreement unclear, disputed, or improperly obtained. Recording an agreed outcome under this section is a discretionary platform-administration step, not mediation, arbitration or a legal determination of the dispute — CoHub is not obliged to resolve a dispute the parties cannot agree on themselves, and doing so does not make CoHub a party to, or a guarantor of, the Host–Member Agreement.

11. Term and Holding Over

This Agreement ends automatically at the end of the Booking period stated in Schedule 1. The Member has no right to remain in or use the Space after that time without a new confirmed Booking.

If the Member remains at the Space after the Booking period without a new Booking, the Host may treat this as a breach of this Agreement and remove the Member’s access. This does not create a tenancy or any ongoing right of occupation for the Member.

12. CoHub’s Role

CoHub is not a party to this Agreement and does not guarantee either party’s performance of it. CoHub’s own liability to the Host or the Member is governed solely by the Platform Terms of Service, not by this Agreement.

CoHub may help the Host and the Member resolve a dispute about this Agreement — for example, through Platform messaging or support — but is not obliged to, and is not responsible for the outcome of, any such dispute. Where the dispute concerns a refund for a Booking that has already been charged, Section 10A sets out how CoHub may record an agreed partial refund.

CoHub may, in some cases, offer optional facilitation, hosting, curation, community, hub, collaboration or event-support services. Unless CoHub expressly agrees in writing to be the event organiser, venue operator, facilitator, host or safety lead for a specific Booking or program, those services are administrative or support services only and do not transfer the Host’s or Member’s legal duties, operational control, insurance obligations, safe-space responsibilities or liability to CoHub.

CoHub may take reasonable platform-protection steps, including withholding or reversing payouts, facilitating refunds, suspending accounts or Listings, removing unsafe or misleading content, escalating urgent safety issues, cooperating with lawful regulator requests, and sharing Booking information between the Host and Member where reasonably necessary to administer the Booking, manage safety, prevent fraud, resolve disputes or comply with law. CoHub must handle personal information in accordance with its Privacy Policy.

CoHub does not verify every legal, planning, building, access, insurance or operational claim made in a Listing unless it expressly says so. Hosts remain responsible for Listing accuracy and legal suitability of the Space, and Members remain responsible for deciding whether the Space is suitable for their intended use before booking.

CoHub may set and enforce Community Standards, Host Standards, Member Standards, content rules, Listing rules, review rules, event rules and safety policies. CoHub may remove or restrict Listings, accounts, reviews, messages, event pages, profiles or other content, restrict access to features, suspend participation, cancel Bookings or require corrective action where CoHub reasonably considers this necessary to protect users, hosts, members, guests, the Platform, property, reputation, safety, legal compliance or trust in the marketplace.

Hosts and Members remain responsible for all content they provide or publish through the Platform, including Listings, photographs, descriptions, reviews, messages, event descriptions, speaker materials, brand claims, promotional material and community posts. Each user must have the rights needed to publish that content and must not misrepresent affiliation, endorsement, accreditation, availability, safety, suitability, pricing, insurance, legal compliance or CoHub approval.

The Platform may use third-party services for payments, identity verification, messaging, calendars, maps, analytics, storage, customer support, insurance checks, background or sanctions screening, e-signatures, notifications and other functionality. Use of those services may be subject to separate third-party terms and privacy practices. CoHub is not responsible for third-party service availability, failures, delays, chargebacks, account holds or compliance requirements except to the extent required by law or expressly stated in CoHub’s Platform Terms of Service.

CoHub may require additional terms for specific categories or programs, including event addenda, community participation terms, facilitator terms, host onboarding declarations, member declarations, insurance schedules, venue rules, waiver templates, acceptable-use rules, content policies, data-processing terms, workplace/Internet-use rules and partner or sponsor terms. If additional terms apply, they must be accepted before the relevant Booking, Listing, event, hub, community or collaboration proceeds.

13. General

  • Entire agreement: this Agreement, Schedule 1, the Listing, and the house rules are the entire agreement between the Host and the Member about the Booking.
  • Governing law: this Agreement is governed by the laws of New South Wales, Australia (CoHub Pty Ltd’s state of registration), and the Host and Member submit to the non-exclusive jurisdiction of the courts of that place.
  • Notices: notices under this Agreement may be given through Platform messaging or to the contact details either party has on file with CoHub. CoHub Pty Ltd (ACN 701 652 557, ABN 88 701 652 557) has its registered office at Suite 9, 39 Stanley Street, Bankstown NSW 2200, Australia.
  • Severability: if a provision of this Agreement is found unenforceable, the rest of the Agreement continues to apply.
  • No partnership or employment: nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between the Host and the Member.
  • Ethical conduct and non-discrimination: the Host and Member must act honestly, respectfully and in good faith, must not engage in misleading, deceptive, harassing, abusive, discriminatory, exploitative or unsafe conduct, and must comply with applicable anti-discrimination, modern slavery, privacy, sanctions, anti-bribery and fair-trading laws.
  • Dispute escalation: the Host and Member should first try to resolve any issue promptly and in good faith through the Platform. If unresolved, either party may ask CoHub support to assist. CoHub may request evidence, make a platform administration decision about refunds or payouts where permitted by the Platform Terms of Service, and may direct the parties to mediation, tribunal, court or regulator processes where appropriate.
